End User License Agreement (EULA)

This End User License Agreement (“EULA”) is a legal agreement between you (“User” or “you”) and Riff Bright, LLC (“Company,” “we,” “us,” or “our”), an Ohio-based limited liability company, governing the use of software (“Software”) embedded in or provided with our music-related device(s) (“Device”).

By purchasing, activating, or using the Device, you agree to be bound by this EULA.

If you do not agree to the terms of this EULA, do not use the Device or the Software.

License Grant and Scope

Subject to the terms of this EULA, the Company grants you a limited, non-exclusive, non-transferable, non-sublicensable license to use the Software embedded in the Device solely for your personal, non-commercial use. This license is granted only for lawful purposes and in accordance with the Privacy Policy, Terms and Conditions, and this EULA.

Restrictions: You may not:

  • Copy, modify, or create derivative works of the Software.
  • Reverse engineer, decompile, disassemble, or otherwise attempt to extract the source code of the Software.
  • Rent, lease, sublicense, or distribute the Software to third parties.
  • Use the Software to interfere with or disrupt the Company’s services or networks.

Privacy and Data Handling

Data collected through the Device, including performance metrics, connectivity status, usage statistics, and diagnostic information, is managed in accordance with our Privacy Policy.

By using the Device, you consent to the collection and processing of such data as described in the Privacy Policy.

Device Data Collection and Usage

By using the Device, you agree to the collection and use of certain data as outlined in our Privacy Policy. This data may include, but is not limited to, performance metrics, connectivity status, usage statistics, and diagnostic information necessary for Device functionality, updates, and improvement.

  • Data Minimization: We collect only the data necessary to provide and improve Device functionality.
  • Anonymized and Aggregate Data: We may use anonymized or aggregate data collected from Device usage for analytics, troubleshooting, and product improvement.

Device Updates and Maintenance

To maintain optimal performance, the Company may periodically update the Software embedded in the Device. These updates may include enhancements, security patches, and other improvements. By using the Device, you agree to receive such updates as part of this license.

  • Automatic Updates: Some updates may be automatic and necessary to ensure Device performance and security.
  • User Acknowledgment: You acknowledge that software updates may temporarily affect certain settings or require a Device reboot. By using the Device, you agree to receive these updates as part of this EULA.

User Responsibilities and Security

You agree to use the Device and Software in compliance with applicable laws, regulations, and the terms of this EULA. It is your responsibility to:

  • Use the Device only as intended, for lawful purposes.
  • Secure your Device with strong passwords and follow recommended security practices.
  • Notify the Company promptly if you detect any unauthorized access or suspected security breaches.

Device Connectivity and Security Risks

Our Devices may connect to the internet or other devices. While we use encryption and security measures to protect data in transit, you acknowledge that connectivity may involve inherent risks.

You are responsible for securing your network and ensuring that your Device’s firmware is regularly updated.

Environmental Conditions

To maintain the Device’s functionality and safety, it must be used and stored within recommended environmental conditions.

The Device should not be exposed to extreme temperatures, humidity, moisture, or physical impact.

Failure to comply with recommended environmental conditions may result in performance issues and may void any applicable warranty.

Geographic Use Limitations

The Company makes no representations regarding Device compatibility or regulatory compliance outside the United States.

Users assume all responsibility for use of the Device in any jurisdiction outside the U.S.

Third-Party Integrations

Your Device may allow optional integration with third-party services or platforms, such as music apps.

You acknowledge that such integrations are provided solely for your convenience and are subject to the terms and privacy policies of the third-party services.

Third-Party Software and Open Source Components

The Software may include third-party or open-source components that are licensed under their respective licenses.

By using the Device, you agree to comply with any terms applicable to these components, as detailed in the Third-Party License Documentation (link to 3rd Party License Documentation).

User-Generated Content

The Device may allow you to create, upload, or share custom content, such as LED patterns or other settings (“User-Generated Content”).

You retain ownership of any User-Generated Content you create.

However, by using the Device and creating User-Generated Content, you grant the Company a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, display, store, and reproduce your User-Generated Content as necessary to operate, improve, and provide services related to the Device.

Limited Warranty

The Company provides a limited warranty for the Device hardware as described in the Limited Warranty Policy (Link to Limited Warranty policy).

The Software is provided “as is” without any warranties, express or implied, regarding performance or compatibility, except where required by applicable law.

Prohibition Against Commercial Use

This Device and Software are licensed solely for personal, non-commercial use.

Use of the Device for any commercial or business purposes, including rental or resale, is strictly prohibited and may result in immediate termination of this license.

Feedback and Suggestions

Any feedback, suggestions, or ideas you provide to the Company related to the Device or Software are considered non-confidential.

Such feedback may be used by the Company to improve its products and services without any obligation or compensation to you.

Limitation of Liability

To the fullest extent permitted by law, the Company disclaims any liability for indirect, incidental, consequential, or punitive damages arising from the use or inability to use the Device or Software.

The Company’s total liability for any claim under this EULA shall not exceed the amount paid by you for the Device.

Disclaimer of Warranties

Except as provided in the Limited Warranty (link to Limited Warranty) for physical components, the Software and Device are otherwise provided “as is” and “as available,” without any warranties of any kind, express or implied.

To the fullest extent permitted by law, we disclaim all warranties related to the Software and any non-covered aspects of the Device, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, performance, and non-infringement.

The Company does not warrant that the Software or Device will meet your requirements, function uninterrupted, be error-free, or be compatible with other software or hardware.

Term and Termination

This EULA is effective from the date you first use the Device or Software and will continue until terminated by you or the Company.

The Company may terminate this EULA immediately if you violate any terms.

Upon termination:

  • You must cease all use of the Device and Software.
  • All rights granted to you under this EULA will terminate.

Governing Law and Dispute Resolution

This EULA is governed by the laws of the State of Ohio, USA, without regard to conflict of law principles.

Any disputes arising from this EULA will be resolved through binding arbitration as outlined in the Terms and Conditions (Link to Terms and Conditions).

Severability

If any provision of this EULA is found to be unlawful, void, or unenforceable, the remaining provisions shall remain in full force and effect.

Modifications to this EULA

The Company reserves the right to modify this EULA at any time.

Any changes will be posted on our Site with an updated “Last Updated” date.

Continued use of the Device after modifications constitutes acceptance of the updated EULA.
